Earlier this year, les Nouvelles, the quarterly journal of the Licensing Executives Society International, published “Licensing Structures and Compliance in an Evolving IP Landscape.” The paper, based on a roundtable discussion held between myself and two colleagues at the 2020 Licensing Executives Society Annual Conference.
The paper includes an overview of various issues arising in licensing agreements. We further explore the licensing negotiation process and challenges licensors face based on changes in the law, adoption of accounting standard ASC 606, which defines when and how royalties should be recognized, and related megatrends in the C-suites of corporations in the western hemisphere. My fellow authors and I lay out various tools available to licensors given today’s landscape that support deal structures that support value creation for all parties.
